By accessing our website or engaging our services, you confirm that you have read, understood, and agreed to these Terms & Conditions. If you do not agree, please refrain from using the website or proceeding with an engagement.

Use of our website or services constitutes acceptance of the version of these Terms in effect at that time. These Terms apply to all website visitors, enquiry submitters, and clients who engage Teras Intel for services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services or submit enquiries on behalf of an organisation.

3. Description of Services

Teras Intel provides AI integration consulting and training services to Malaysian businesses across three primary areas:

Exact scope, timelines, and deliverables are defined in individual engagement proposals or statements of work agreed upon before a project begins.

4. Engagement Process

4.1 Enquiry & Proposal

Submitting a contact form or making an enquiry does not constitute a binding contract. An engagement begins only when a written proposal or service agreement has been signed by both parties.

4.2 Scope Changes

Any changes to the agreed scope of work must be confirmed in writing by both parties. Additional scope may attract additional fees, which will be communicated and agreed in advance.

4.3 Client Cooperation

Successful delivery of our services depends on timely access to relevant systems, data, and personnel. We expect the Client to provide reasonable cooperation throughout the engagement.

6. Intellectual Property

6.1 Our Property

All content on the Teras Intel website โ€” including text, methodology documentation, design elements, and branding โ€” is the intellectual property of Teras Intel and may not be reproduced without our written consent.

6.2 Deliverables

Unless otherwise agreed in writing, ownership of project deliverables transfers to the Client upon full payment of the applicable invoice. Teras Intel retains the right to use anonymised insights from engagements to improve our methodologies and training materials.

6.3 Pre-existing Materials

Any tools, frameworks, or proprietary methods we bring to an engagement remain the property of Teras Intel. Clients receive a non-exclusive, non-transferable licence to use any such materials incorporated into their deliverables for internal business purposes.

7. Payment Terms

All prices are quoted in Malaysian Ringgit (RM) and are subject to any applicable taxes including SST where required.

7.1 Invoicing

Invoices are issued according to the payment schedule agreed in the engagement proposal. This typically involves a deposit upon project commencement and a balance due upon completion or at defined milestones.

7.2 Late Payment

Invoices are due within 14 days of issue unless otherwise agreed. Late payment may result in suspension of service delivery until the outstanding amount is settled.

7.3 Cancellation

If a Client cancels an engagement after work has commenced, fees incurred up to the cancellation date remain payable. Any deposit paid is non-refundable once the engagement has begun, unless Teras Intel is at fault.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This obligation continues for a period of two years after the conclusion of the engagement.

This clause does not prevent either party from disclosing information that is publicly available, required by law, or independently developed without reference to the other party's confidential material.

9. Disclaimers

Our services are provided on the basis of professional judgement and current best practices in AI integration. We do not represent that any particular outcome will be achieved. Business results depend on many factors outside our control, including the quality of existing data, organisational readiness, and implementation effort by the Client.

Our website is provided "as is" without warranties of any kind, express or implied. We make reasonable efforts to keep information accurate and current but cannot ensure its completeness at all times.

We do not offer legal, financial, or medical advice. Clients engaged for Applied AI for Legal Operations should maintain independent legal oversight of their operations.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, Teras Intel's total liability to a Client for any claim arising from an engagement shall not exceed the total fees paid by the Client for the specific project to which the claim relates.

We are not liable for indirect, consequential, or incidental damages, including loss of profit, loss of data, or business interruption, even if we were advised of the possibility of such losses.

Nothing in these Terms limits our liability for fraud, wilful misconduct, or death or personal injury caused by our negligence.

11. Termination

Either party may terminate an engagement by giving 14 days' written notice. Upon termination:

Teras Intel reserves the right to suspend or terminate services immediately if a Client breaches these Terms, engages in unlawful conduct, or fails to make payments after reasonable notice.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of Malaysia. Any dispute will first be subject to good-faith negotiation between the parties. If resolution cannot be reached within 30 days, the matter may be referred to mediation under the Mediation Act 2012 (Malaysia) before any formal legal action is taken.

In the absence of resolution through mediation, disputes will be submitted to the courts of Malaysia, and both parties submit to the exclusive jurisdiction of those courts.

We may update these Terms from time to time to reflect changes in our services or applicable law. We will revise the "Last Updated" date and, where changes are material, provide notice on the website. Continued use of our website or services after the effective date of an update constitutes acceptance of the revised Terms.
